Startup matters

Our clients appreciate our commercial acumen and experience as much as our legal expertise. We understand the challenges growing companies face as they’re scaling up and we’re as comfortable sparring with entrepreneurs as we are negotiating with investors.

The scope of our work typically includes advice on protecting intellectual property, choice of legal entity, corporate documentation, share capital composition, warrant programmes and incentive schemes, and employment contracts.

We work closely with founders in structuring the equity split in a manner that protects the entity’s interest while minimizing areas of conflict between the company and its founding teams or outside investors.

Seed and venture capital law

We advise entrepreneurial companies, business angels and venture capital funds across a range of sectors on prospective seed and venture capital investments. We typically work with our clients from first term sheet negotiations and through successive funding rounds. Our focus throughout is on providing clear, actionable advice that will help secure the best possible terms.

Our clients benefit from our technical expertise but also from our understanding of the seed and venture capital environment in the Nordics and internationally. We often work closely together with international law firms on cross-border investments and can call on a broad network of partners when required.

Mergers and acquisitions

With more than 25 years’ combined M&A experience, we’re comfortable working with all types of transactions, including domestic and cross-border mergers and acquisitions, strategic ventures, acquisition of assets and spin-offs.

Our work typically includes negotiating and drafting M&A contracts, transaction documentation, and scoping and completing due diligence investigations. While our clients’ needs differ, we bring the same no-nonsense approach to bear with a focus on providing straightforward solutions for complex issues.

General corporate law

We advise businesses of all sizes from local SMVs to international conglomerates on general corporate law. Being a small company in need of outside general counsel or a large global player looking to establish in Denmark, we take pride in providing the best all-round legal service within our practise areas.

We typically work with our clients as general legal sparring partners – if the tasks require special legal knowledge outside our areas of expertise, we make use of our extensive network in the legal industry, locally as well as internationally, to make sure our clients get just the right advice at any time.

As outside general counsel we work closely with all levels of the company organisation to provide guidance and support.
